1. Acceptance of Terms
By creating an account, accessing, or using the Molioon platform (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not access or use the Service. Your continued use of the Service after any modification to these Terms constitutes your acceptance of the modified Terms.
2. Description of Service
Molioon provides an AI-powered commerce intelligence platform that helps eCommerce brands and advertising agencies analyze advertising performance, detect wasted spend, generate optimization recommendations, and automate PPC workflows across online marketplaces including Amazon, Walmart, eBay, and others (“Marketplaces”).
The Service includes, without limitation:
- Campaign analytics dashboards and reporting
- AI-generated advertising recommendations
- Search term waste detection and automated negation
- Workflow automation and AI agent capabilities
- Multi-marketplace performance insights
- API access (Growth and Enterprise plans)
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. Accounts & Access
3.1 Account registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Marketplace connections
The Service connects to your Marketplace advertising accounts via official APIs. By connecting an account, you represent that you have the right and authority to grant Molioon read and write access to that account as required by the Service features you use. You may revoke this access at any time through your account settings.
3.3 Authorized users
Your subscription includes a fixed number of user seats as described in your plan. You are responsible for all actions taken by users under your account. Sharing access credentials with individuals outside your organization is prohibited.
3.4 Account security
You must notify us immediately at contact@molioon.com upon becoming aware of any breach of security or unauthorized use of your account. We are not liable for any loss or damage resulting from unauthorized access to your account.
4. Subscription & Billing
4.1 Plans and fees
The Service is offered on a subscription basis. Current pricing is available at molioon.com/pricing. By selecting a subscription plan, you agree to pay the applicable fees as described at the time of purchase.
4.2 Billing cycles
Subscriptions are billed monthly or annually, depending on your selection. Annual subscriptions are billed in full at the start of each annual period. All fees are stated in US dollars and are exclusive of applicable taxes unless otherwise stated.
4.3 Payment
You authorize Molioon to charge your designated payment method for all applicable fees. If payment fails, we may suspend your access to the Service until payment is received. You are responsible for keeping your billing information current.
4.4 Free trials
We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. No charge will be made during the trial period.
4.5 Refunds
Fees are non-refundable except as required by law or as expressly set forth in these Terms. If you cancel during a billing period, you will retain access to the Service until the end of that period. Annual subscriptions that are cancelled within 30 days of the initial purchase date may be eligible for a pro-rated refund at our discretion.
4.6 Plan changes
You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately and the difference is prorated. Downgrades take effect at the start of the next billing cycle.
5. Your Data
5.1 Ownership
You retain all ownership and intellectual property rights in and to the data you submit to the Service, including your advertising account data, campaign data, and any other content (“Customer Data”).
5.2 License to Molioon
You grant Molioon a limited, non-exclusive, worldwide license to access, store, process, and use your Customer Data solely for the purpose of providing and improving the Service to you. This license terminates upon the deletion of your account.
5.3 No use for model training
Molioon does not use your Customer Data to train shared AI models. Your data is used only to generate insights and recommendations within your account. This restriction applies regardless of your subscription plan.
5.4 Data processing
To the extent that Molioon processes personal data on your behalf, we do so as a data processor in accordance with our Data Processing Agreement (DPA), which is available upon request at contact@molioon.com.
6. Intellectual Property
Molioon and its licensors own all intellectual property rights in the Service, including all software, algorithms, models, interfaces, documentation, and other technology. Nothing in these Terms transfers any ownership of Molioon's intellectual property to you.
You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, disassemble, or decompile any part of the Service; (c) sublicense, sell, resell, or otherwise transfer the Service to any third party; or (d) use the Service to build a competing product or service.
Subject to your compliance with these Terms, Molioon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term.
7. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Violate the terms of service of any Marketplace you connect to the Service
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Scrape, crawl, or extract data from the Service in an automated manner beyond normal use
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service for fraudulent activity, including click fraud or inflated metrics
- Resell, sublicense, or distribute access to the Service to third parties without written authorization
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
Molioon does not warrant that: (a) the Service will be uninterrupted or error-free; (b) any AI recommendations will be accurate, complete, or suitable for your business; or (c) the Service will meet your specific requirements.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOLIOON AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MOLIOON'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Molioon and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any Customer Data you submit to the Service.
11. Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
Molioon may suspend or terminate your access to the Service immediately, without prior notice or liability, if: (a) you breach these Terms; (b) we are required to do so by law; or (c) we reasonably believe that your use of the Service poses a risk to us or other users.
Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for 30 days following termination, after which it will be deleted in accordance with our data retention policies. You may request an export of your data within this 30-day window by contacting contact@molioon.com.
12. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in San Francisco, California.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email to the address associated with your account, at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
